TERMS AND CONDITIONS GJC Productions, a Wisconsin Company, hereinafter known as GJC, rents the personal property equipment described herein upon the following terms and conditions: RENTAL: All rental charges start on the day Equipment is picked up prior to 2 pm. After 2 p.m., rental charges will start the following day. Rental equipment must be returned by 10 a.m. the morning following actual use. Equipment returned after 10 a.m. will be charged for an additional day's rental, unless previous arrangements have been made with GJC. Equipment not returned on time will be charged a straight daily rental rate. A weekly rental is based upon a 7-day calendar week. A monthly rental is based upon three full weeks as defined above. Minimum rental charge is a full one-day rate. No half-day rates are available. Minimum open account billing is $25.00 per rental. Cancellation of rentals without 24 hours notice may be subject to charge of up to 50% of the total rental, in addition to any and all charges incurred by GJC on behalf of the renter for any additional outside services or Equipment reserved. All prices quoted and/or published by GJC are subject to change without notice. GJC reserves the ri9ht to make changes in its rental terms and as it deems necessary without notice. TERM: The term of this rental commences on the date on which renter issues its rental order for the Equipment, notwithstanding that rent payments shall commence as provided below. The term ends upon the expiration of the period after the Rent Commencement Date shown on this Agreement. ACCEPTANCE: On GJC's request, renter shall give GJC a written statement (1) acknowledging receipt of the Equipment in good condition and repair, and (2) accepting it as satisfactory in all respects for the purpose of this rental. The date of receipt and acceptance of the Equipment shall be the Rent Commencement Date. Whether or not renter has given GJC a written statement described above, renter shall, by making the rent payment, or use of the equipment, be deemed to have acknowledged receipt and acceptance of the Equipment on the date set forth in GJC's invoice for the rent payment. This date, which shall be no earlier than the delivery date of the Equipment, shall then be the rent commencement date. GJC is authorized to enter the Rent Commencement Date on this Agreement. This rental cannot be cancelled or terminated except as expressly provided by its terms. EQUIPMENT INSPECTION: Renter acknowledges that the Equipment has been offered for test and inspection to the time of rental. GJC will provide instruction on our premises, free of charge, prior to delivery. GJC will not be responsible for renter's inexperience in the operation of the Equipment, Set-up, Instruction and/or actual operation of the Equipment on-location by GJC will be charged for according to then current GJC published rate card pricing. GJC assumes no responsibility whatsoever for the performance of the Equipment and no claim for liability or rental reduction shall be allowed due to alleged or actual failure of the Equipment to perform in any manner or for any reason. All Equipment is checked and guaranteed operable when it leaves GJC. LOCATION/INSPECTION/LABELS: GJC shall have the right to inspect the Equipment at any reasonable time with prior notice to the renter. Renter agrees to permit owner or his agent to enter the premises upon which the rental Equipment is kept for the purpose of inspection or the purpose of repossessing the equipment in the event of a default of any term of the Agreement whatsoever. If GJC supplies renter Equipment with labels stating that the Equipment is owned by GJC renter shall not remove the labels. REPAIRS/USE/ALTERATION: Renter, at its own expense, shall keep the equipment in good condition and working order, pay for all supplies, replace all lamps as necessary, shall use the Equipment lawfully, and shall not alter the Equipment without prior written consent from GJC. SURRENDER: Upon expiration of the term of this rental, or upon demand by GJC pursuant to the "Default" paragraph herein, renter, at its expense, shall return the Equipment by delivering it to a place, or packed for shipping on board by carrier, as GJC may specify, in the same condition as when delivered to renter, allowing for reasonable wear and tear. LOSS OR DAMAGE: Renter shall bear the entire risk of loss, theft, destruction, or damage (Loss or Damage) of the Equipment from any cause whatsoever. No loss or damage shall relieve renter of the obligation to pay rent or of any other obligation under this rental If loss or damage occurs, GJC, at its option, may require renter to perform one of the following options: (1) To repair and re the Equipment in good condition. (2) To replace the Equipment with like or new comparable Equipment in good condition with clear title to GJC. GJC justly reserves the right to charge, as additional rental, any loss of revenue as a result of the repair, restoration or replacement of the rented Equipment. After renter has complied with the conditions set forth above, GJC shall then be entitled to receive and retain all insurance payments made because of the Loss or Damage of the Equipment, if any. Renter, renter's insurer, or both shall then be entitled to GJC's interest in the Equipment for salvage purposes, in its then condition and location, AS IS without warranty, express or implied. INSURANCE: Renter shall provide, pay for, and maintain: (1) insurance against the loss or theft of or damage to the Equipment, for its full replacement value, and (2) public liability and property damage insurance naming GJC as an additional insured. AU insurance shall be in the form of, in amounts and with companies satisfactory to 5G. TAXES/LIENS: As directed by GJC, renter shall pay all charges for freight and handling and taxes (local, state and federal) which may now or hereafter be imposed or levied upon the sale, purchase, ownership, renting, possession, or use of the Equipment, excluding, however, all taxes on or measured by GJC's net income. Renter shall keep the equipment free and clear of all levies, liens and encumbrances. if renter fails to provide or maintain insurance as required herein or to pay any charges and taxes as further required herein or to discharge any levies, liens, and encumbrances as further required herein, GJC shall have the right, but shall not be obligated to obtain insurance, pay any charges or taxes, or effect discharge or any lien or encumbrance. If GJC exercises that right, renter shall pay to GJC its cost incurred in addition to the rent payment, plus 10%. INDEMNITY: Renter shall indemnify GJC again stand hold GJC harmless from any and all claims, actions, damages, costs including reasonable attorney s fees, obligations, liabilities, and liens (including any of the foregoing arising or accrued without GJC's fault or negligence, or under the doctrine of strict liability) arising out of the purchase, lease, use, possession, selection, delivery, operation, return, or other disposition of the Equipment. Renter shall assume full responsibility for the defense of any action, damages, obligations liability or lien arising as stated above. The provisions of the Paragraph shall survive termination of this rental as to any matter arising during the term of the rental. ASSIGNMENT AND OFFSET: Without GJC's prior written consent, Renter shall not: (1) assign, sublet, transfer, pledge, hypothecate or otherwise dispose of this rental, the Equipment, or any interest in the rental or Equipment; or (2) lend the Equipment or permit it to be used by anyone other than the Renter and Renters employees and agents. SERVICE CHARGE AND INTEREST: If renter fails to pay when due any Rent or other amounts required to be paid to GJC, Renter shall pay GJC a service charge of 2% per month of each delinquent amount or $5.00, whichever is greater, plus interest on the delinquent Rent or other amounts from the due date until the date of payment, at the above rate or maximum rate allowed by law, whichever is greater. DEFAULT: The following terms are agreed to by the renter for any and all equipment rented from GJC, prior to shipment and/or delivery. If renter fails to pay when due any Rent or other amount required to be paid by renter; or fails to perform any other required provision within 10 days of GJC's written demand for performance; or for any reason makes a bulk transfer of furniture, furnishings, fixtures, or other equipment or inventory; or makes an assignment for the benefit of creditors, whether voluntary or involuntary; or has a petition filed by or against it under the Bankruptcy Act; or has breached any other rental or agreement between GJC and renter, GJC shall have the right to exercise any one or more of the following remedies: (a) GJC may recover from renter all Rent and otter amounts then due and amounts that subsequently become due. (b) GJC may take possession of any or all items of Equipment, wherever they may be located, without demand or notice, without any court order or other process of law, an, without liability to renter for any damages occasioned by taking of possession. Any taking of possession shall not constitute a termination of this rental. (C) GJC may recover from renter, with respect to any and all items of Equipment, and with or without repossessing Equipment, the sum of all Rent and other amounts due and to become due. (d) GJC may pursue any other remedy at law or in equity. No right or remedy conferred upon or reserved to GJC is exclusive of any other right or remedy provided by this rental or by law or equity. TERMINATION ON DEFAULT: Upon the occurrence of any of the events stated above, GJC may elect to terminate this rental. A termination shall occur only upon written notice by GJC to renter and only with respect to such items of Equipment as GJC specifically elects to terminate in the notice. As to any items that are not included in the notice of termination, this rental shall continue in full force and effect and the renter shall be obligated to perform all acts and pay all Rents and other amounts required under this rental. As to any items of equipment for which this rental is terminated by GJC, GJC may recover from the Renter the excess, if any, of the amount of Rent due for the item for the balance of the term over the reasonable rental value of the item for the same period of time. COSTS AND EXPENSES OF ENFORCEMENT: Renter shall pay GJC all costs and expenses, including reasonable attorney's fees, the fees of collection agencies, and other expenses such as telephone and telegraph charges, incurred by GJC in enforcing any of the terms, condition s, or provisions of the rental. OWNERSHIP: The Equipment is, and shall at all times remain, the property of GJC, and renter shall have no right, title, or interest in it except as expressly set forth in the rental. The Equipment is and shall at all times remain, personal property not withstanding that the Equipment or any part of it may be or become affixed or attached in any manner to real property or any improvements on real property. NOTICES: Service of all notices under this rental shall be sufficient if given personally or mailed to the party involved at its respective address set forth on the order form or at any other address the party may provide. Any notice mailed shall be effective when deposited in the United States mail, duly addressed and with postage paid. MISCELLANEOUS: This instrument constitutes the entire agreement between GJC and renter, and it shall not be amended, altered, or changed except by a written agreement signed by the parties involved. Renter shall provide GJC with any corporate resolutions, opinions of counsel, financial statements, and any other documents, including documents of title and UCC financing statements, as may be required by GJC from time to time. Titles to the Paragraphs of these Terms and Conditions are solely for convenience and are not intended for interpretation or construction of this rental. Any waiver by GJC is ineffective unless in writing, and shall not be deemed a waiver of any other or future obligation.
